1. Agreement to Terms

By accessing or using AxiomMatch.com (the "Platform"), operated by Axiom Technologies LLC ("Axiom," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Axiom. Your continued use of the Platform following the posting of revised Terms means you accept and agree to the changes.

2. Description of Service

Axiom is a technology platform that connects vehicle buyers with dealerships. Axiom is not a vehicle dealer, broker, lender, financial advisor, or auctioneer. Axiom does not sell, lease, finance, insure, or otherwise transact in vehicles. Axiom does not participate in, facilitate, or guarantee the completion of any transaction between buyers and dealers. The Platform serves as a matching and communication layer only.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

4. Account Registration

Certain features of the Platform require account registration or information submission. You agree to provide accurate, current, and complete information during any registration or intake process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Axiom immediately of any unauthorized use of your account.

5. Subscriptions and Payments

Axiom offers subscription-based access to certain dealer-facing features. By subscribing, you authorize Axiom to charge the payment method on file at the then-current subscription rate on a recurring basis until cancelled. All fees are stated in U.S. dollars.

Non-refundable. All subscription fees are non-refundable except as required by applicable law. No credits or refunds will be provided for partial subscription periods, unused features, or dissatisfaction with results.

No guarantees. Subscription access does not guarantee traffic, demand, leads, sales, revenue, or any specific business outcome. Platform growth is ongoing and evolving. Dealer and buyer onboarding occurs in phases. The availability of matching and lead volume depends on market conditions and user adoption.

Axiom reserves the right to change pricing at any time with 30 days' written notice. Continued use of the Platform after a pricing change constitutes acceptance of the new pricing.

6. Platform as Technology Only

Axiom is a technology platform only. Axiom does not:

  • Sell, lease, or finance vehicles
  • Act as a broker, agent, or intermediary in any vehicle transaction
  • Guarantee the accuracy of any listing, price, availability, condition, or description
  • Endorse, recommend, or vouch for any dealer, buyer, vehicle, or transaction
  • Provide legal, financial, tax, or regulatory advice

All transactions occur directly between buyers and dealers. Users are solely responsible for conducting their own due diligence, verifying all information independently, and making their own decisions regarding any transaction.

7. Acceptable Use Policy

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Platform or its infrastructure
  • Attempt to gain unauthorized access to any portion of the Platform
  • Use automated tools, bots, scrapers, or crawlers to access or extract data
  • Harass, abuse, or threaten other users
  • Reverse-engineer, decompile, or disassemble any aspect of the Platform
  • Use the Platform to collect personal information about other users without their consent
  • Circumvent, disable, or otherwise interfere with security features

Axiom reserves the right to suspend or terminate access for any user who violates this Acceptable Use Policy, without notice and without refund.

8. Intellectual Property

All content, features, functionality, software, designs, trademarks, trade names, logos, and other intellectual property displayed on or through the Platform are the exclusive property of Axiom or its licensors. You may not copy, modify, distribute, sell, lease, or create derivative works based on any content from the Platform without prior written consent from Axiom. Nothing in these Terms grants you any right, title, or interest in the Platform or its content beyond the limited right to use the Platform in accordance with these Terms.

9. User Content

By submitting information to the Platform (including but not limited to vehicle preferences, contact information, inventory data, and business details), you grant Axiom a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Platform. You represent and warrant that you have the right to submit such content and that it does not infringe on the rights of any third party.

10. Disputes Between Users

Axiom is not responsible for disputes, claims, losses, injuries, or damages of any kind arising from or related to interactions, negotiations, communications, or transactions between buyers and dealers. You agree to resolve any such disputes directly with the other party. You release Axiom from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AXIOM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AXIOM MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL AXIOM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO AXIOM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIVE HUNDRED U.S. DOLLARS ($500.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Axiom, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any content you submit to the Platform.

14. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.

Class action waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST AXIOM.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

16. Termination

Axiom may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution provisions. You may terminate your account at any time by contacting Axiom at the email address below.

17. Modification of Services

Axiom reserves the right to modify, suspend, or discontinue the Platform or any part thereof at any time, temporarily or permanently, with or without notice. Axiom shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

18. Modification of Terms

Axiom reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.

19. Force Majeure

Axiom shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information systems, or any other event beyond Axiom's reasonable control.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Axiom concerning the Platform and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
